Nassham Pay Terms & Conditions

Welcome to Nassham Pay.

These Terms & Conditions ("Terms") govern your access to and use of the Nassham Pay website, application, marketplace, and related services (collectively, the "Platform").

Nassham Pay is an online marketplace platform operated by NASSHAM TECHNOLOGIES & COMPANY LIMITED that enables users to create accounts and access marketplace services. Registered users may browse Products, place Orders, and purchase Products offered by Sellers through the Platform. A registered User may also apply to become a Seller. Seller access is subject to review and approval by Nassham Pay.

Important: By creating an Account, accessing the Platform, placing an Order, applying to become a Seller, operating a Seller Account, listing a Product, or otherwise using Nassham Pay, you agree to be bound by these Terms together with the Privacy Policy, Return & Refund Policy, Seller Policy, and other applicable Platform policies.

1. INTRODUCTION AND ACCEPTANCE

1.1 About Nassham Pay

Nassham Pay operates an online marketplace through which registered users may discover, purchase, and, where approved, sell Products.

A User may initially register as a general User and Buyer.

A registered User may subsequently apply to become a Seller. Seller access is subject to the application, verification, review, and approval procedures established by Nassham Pay.

Once approved, a Seller may be permitted to:

  • provide and maintain business information;
  • establish and manage a Seller Store;
  • submit Product listings;
  • provide Product descriptions, images, specifications, and prices;
  • receive Orders from Buyers;
  • process and fulfill Orders;
  • communicate with Buyers through Nassham TradeTalk;
  • manage inventory and Product availability;
  • access other Seller features made available by Nassham Pay.

Buyers may use Nassham Pay to:

  • create and maintain an Account;
  • browse and search Products;
  • view Seller Stores and Product information;
  • communicate with Sellers through available Platform features;
  • place Orders;
  • make payments through supported payment methods;
  • monitor Order status;
  • request returns, refunds, or assistance in accordance with applicable policies.

1.2 Marketplace Role

Unless expressly stated otherwise, Nassham Pay acts as a marketplace operator and technology platform provider .

Nassham Pay generally does not manufacture, own, import, stock, or physically possess Products listed by independent Sellers.

The Seller is generally responsible for:

  • the legality of Products;
  • accuracy of Product information;
  • Product quality and condition;
  • Product pricing;
  • Product availability;
  • inventory accuracy;
  • packaging;
  • Order processing;
  • fulfillment;
  • delivery arrangements where applicable;
  • compliance with applicable laws;
  • Seller obligations under these Terms and applicable policies.

Nassham Pay may provide tools and services to facilitate transactions between Buyers and Sellers but does not guarantee that every Seller, Product, Listing, or transaction will meet a Buyer's expectations.

1.3 Acceptance

By using Nassham Pay, you confirm that:

  • you have read and understood these Terms;
  • you agree to comply with these Terms;
  • you will comply with applicable laws;
  • information provided by you is accurate and not misleading;
  • you will keep your Account information reasonably accurate and current;
  • you have the legal capacity required to enter into transactions through the Platform.

If you use Nassham Pay on behalf of a business or organization, you represent that you have authority to bind that entity.

2. DEFINITIONS

"Nassham," "Nassham Pay," "we," "us," or "our" means NASSHAM TECHNOLOGIES & COMPANY LIMITED, the operator of the Platform.
"Platform" means the Nassham Pay website, application, marketplace, software, systems, services, and related technology.
"User," "you," or "your" means any person who accesses or uses the Platform.
"Buyer" means a registered User who browses, orders, or purchases Products through the Platform.
"Seller" means a User whose application to sell Products through Nassham Pay has been reviewed and approved by Nassham Pay.
"Product" means goods or other items listed for sale by a Seller through the Platform.
"Listing" means a Product listing created or submitted by a Seller.
"Store" or "Seller Store" means the online storefront made available to an approved Seller.
"Order" means a request submitted by a Buyer to purchase one or more Products from a Seller.
"Payment Provider" means a third-party payment service provider used to process payments, including AzamPay where applicable.
"Account" means a registered User account created on Nassham Pay.
"Seller Account" means Seller functionality and permissions granted to an approved Seller.
"Nassham TradeTalk" means the built-in communication or messaging system provided by Nassham Pay for communication between Buyers and Sellers.
"Policies" means these Terms and other policies, rules, guidelines, requirements, and notices published by Nassham Pay.
"User Content" means text, photographs, images, videos, reviews, ratings, comments, messages, Product information, documents, or other material submitted by Users to the Platform.

3. USER ACCOUNTS

3.1 Account Registration

To access certain features and services, you must create and maintain a registered Account.

During registration, Nassham Pay may require:

  • First Name;
  • Surname;
  • Gender;
  • Email Address;
  • WhatsApp Number;
  • Country Code associated with the WhatsApp Number;
  • other information reasonably necessary to create, secure, verify, maintain, or provide Platform services.

You agree that information provided during registration and thereafter will be accurate, complete, current, and not misleading.

3.2 Eligibility

You may create an Account only if you are legally permitted to enter into an agreement and transactions under applicable law.

You represent that:

  • information provided by you is truthful and accurate;
  • you are creating the Account for yourself or are authorized to create it on behalf of the relevant person or business;
  • you have not been permanently prohibited from using Nassham Pay unless Nassham Pay has authorized you to register again;
  • your use of the Platform will comply with these Terms and applicable law.

Where applicable law imposes a minimum age or other eligibility requirement, that requirement applies.

3.3 One User Account

Unless Nassham Pay expressly permits otherwise, each User should maintain one primary personal Account.

You must not create multiple Accounts for the purpose of:

  • circumventing a suspension;
  • abusing promotions;
  • manipulating reviews or ratings;
  • creating fraudulent Orders;
  • avoiding restrictions or fees;
  • misleading other Users;
  • circumventing Platform security or policies.

3.4 WhatsApp Authentication

The WhatsApp Number registered with your Account may be used for login, authentication, verification, security, and Account-related communication.

Nassham Pay may use a verification code, one-time password, authentication request, or another verification method.

You are responsible for ensuring that the registered WhatsApp Number:

  • belongs to you or is lawfully under your control;
  • remains accessible where required for authentication;
  • is kept secure;
  • is not knowingly provided to another person for unauthorized Account access.

3.5 Email and Account Recovery

The email address associated with your Account may be used for Account recovery, security notifications, important Account communications, and other purposes described in the Privacy Policy.

If you lose access to your Account, Nassham Pay may provide an Account recovery process using the registered email address. Additional verification may be required.

3.6 Account Security

You are responsible for taking reasonable steps to protect:

  • your Account;
  • registered WhatsApp Number;
  • registered email address;
  • verification codes;
  • authentication information;
  • devices used to access Nassham Pay.

You must promptly notify Nassham Pay if you suspect unauthorized access.

3.7 Account Activity

You are responsible for activity conducted through your Account, subject to applicable law and legitimate reports of unauthorized access.

3.8 Account Information Changes

You must keep your Account information accurate and current. Changes to your WhatsApp Number or email address may require verification.

3.9 Loss of Access

If you lose access to your registered WhatsApp Number or email address, you should contact Nassham Pay and use the available recovery procedures.

3.10 Account Suspension

Nassham Pay may temporarily restrict or suspend an Account where reasonably necessary to:

  • protect Platform security;
  • investigate fraud;
  • prevent abuse;
  • investigate policy violations;
  • comply with law;
  • protect Users or third parties;
  • prevent harm to Nassham Pay or its partners.

3.11 Account Closure

You may request closure of your Account. Before closure, you may be required to resolve outstanding Orders, payments, refunds, returns, disputes, Seller obligations, or other outstanding matters.

3.12 Prohibited Account Conduct

  • provide false identity information;
  • impersonate another person or business;
  • access another person's Account without authorization;
  • create fraudulent Accounts;
  • circumvent suspension;
  • manipulate Platform systems;
  • conduct fraudulent transactions;
  • interfere with another User's Account;
  • abuse recovery procedures;
  • use the Platform unlawfully;
  • violate these Terms or Platform policies.

3.13 Account Privacy

Personal information associated with Accounts will be handled in accordance with the Nassham Pay Privacy Policy and applicable data-protection law.

3.14 Multiple Roles

A registered User may be permitted to use the same underlying Account as both a Buyer and an approved Seller. Seller functionality is not automatically granted upon registration.

4. SELLER APPLICATION AND APPROVAL

A User wishing to sell Products must submit a Seller application and provide information requested by Nassham Pay.

This may include:

  • legal or business name;
  • contact information;
  • business information;
  • identification or verification documents where permitted or required;
  • business location;
  • settlement information;
  • tax information where applicable;
  • other information reasonably required for verification.

Nassham Pay may approve, reject, suspend, or request additional information regarding an application.

Seller approval does not constitute an endorsement, certification, guarantee, or warranty of the Seller or its Products.

5. BUYER RULES

Buyers must use Nassham Pay honestly and responsibly.

A Buyer must:

  • provide accurate information;
  • place Orders in good faith;
  • pay applicable amounts;
  • provide accurate delivery information;
  • inspect Products upon receipt where reasonably possible;
  • follow applicable return procedures;
  • communicate respectfully.

A Buyer must not:

  • place fraudulent or fictitious Orders;
  • abuse returns or refunds;
  • use unauthorized payment methods;
  • manipulate ratings;
  • harass Sellers;
  • circumvent Platform security;
  • use Nassham Pay unlawfully.

6. SELLER RULES

Sellers must ensure that information submitted to Nassham Pay is accurate.

Sellers are responsible for ensuring that Products:

  • exist;
  • are legally permitted to be sold;
  • are accurately described;
  • are correctly priced;
  • are available when listed;
  • comply with applicable quality and safety requirements;
  • are properly packaged;
  • are properly fulfilled.

Sellers must not knowingly list counterfeit, stolen, illegal, unsafe, prohibited, or unlawfully restricted Products.

7. PRODUCTS AND PRODUCT LISTINGS

Sellers are responsible for the accuracy of their Product Listings.

Listings should accurately state, where applicable:

  • Product name;
  • condition;
  • specifications;
  • quantity;
  • price;
  • variations;
  • images;
  • warranty information;
  • material limitations or exclusions;
  • other information required by Nassham Pay.

Nassham Pay may reject, restrict, hide, suspend, edit, or remove Listings that violate these Terms, applicable law, or Platform policies.

8. PRODUCT PRICING

Sellers are responsible for setting Product prices unless otherwise stated.

Prices may be subject to:

  • taxes;
  • delivery charges;
  • discounts;
  • Platform fees;
  • other applicable charges.

The applicable amount payable by the Buyer will be displayed during the relevant Order or checkout process where supported.

Sellers must not manipulate prices in a deceptive or misleading manner.

9. ORDERS

9.1 One-Seller Orders

Each Order placed through Nassham Pay is a separate transaction involving one Seller.

Nassham Pay does not currently support a mixed-Seller cart or a single Order containing Products from multiple Sellers.

9.2 Placing an Order

Before submitting an Order, the Buyer should review:

  • Product;
  • quantity;
  • size, model, color, or other options;
  • price;
  • delivery charges, where applicable;
  • delivery information;
  • applicable taxes or charges;
  • total amount.

9.3 Order Status

Order statuses may include: Pending Payment, Paid, Processing, Ready for Delivery, Out for Delivery, Delivered, Collected, Completed, Cancelled , or other statuses introduced by Nassham Pay.

An Order is not a Paid Order until payment has been successfully confirmed.

9.4 One-Hour Payment Period

Where an Order is placed but payment has not been completed, the relevant Product quantity may be temporarily reserved.

Unless otherwise stated, the Buyer must complete payment within one (1) hour after placing the Order.

If payment is not completed within that period:

  • the Order may expire or be cancelled;
  • reserved stock may be released;
  • the Product may become available to other Buyers;
  • the Buyer may need to place a new Order.

9.5 Seller Processing

After successful payment confirmation, the Seller may begin processing the Order.

The Seller is responsible for ensuring the Product is available, properly prepared, packaged, and fulfilled.

10. ORDER ACCEPTANCE, CANCELLATION AND COMMUNICATION

10.1 Order Acceptance

Submitting an Order does not necessarily mean the Seller has accepted it.

An Order becomes eligible for processing after successful payment confirmation and receipt by the Seller, subject to applicable conditions.

10.2 Cancellation

An Order may be cancelled where:

  • the Product is unavailable;
  • stock is insufficient;
  • the Product was incorrectly listed;
  • the price was materially incorrect;
  • the Seller cannot fulfill the Order;
  • the Buyer provided incorrect information;
  • delivery is unavailable;
  • payment fails or is reversed;
  • fraud or suspicious activity is suspected;
  • the Order violates Platform rules;
  • fulfillment would violate law;
  • a technical error materially affected the Order;
  • cancellation is otherwise permitted by applicable law or policy.

10.3 Buyer–Seller Communication

Buyers and Sellers should use Nassham TradeTalk for important Order-related discussions, including:

  • Product specifications;
  • availability;
  • condition;
  • delivery arrangements;
  • delivery location;
  • delivery timing;
  • warranties;
  • returns;
  • delivery fees;
  • other material transaction matters.

10.4 Transactions Outside Nassham Pay

Nassham Pay strongly recommends that Buyers and Sellers keep Order discussions, payments, delivery arrangements, and other material transaction matters within the Platform where applicable.

If Users voluntarily conduct material parts of a transaction through external platforms, communication channels, or payment methods, Nassham Pay may be unable to verify the circumstances or provide the same level of assistance.

10.5 Platform Circumvention

Users must not use Nassham TradeTalk or other Platform features primarily to arrange transactions outside Nassham Pay for the purpose of avoiding applicable Platform procedures, protections, records, fees, or policies.

10.6 Order Changes

After an Order is submitted or paid, changes may not always be possible. Any requested change is subject to the Seller's ability to accommodate it and applicable Platform procedures.

10.7 Buyer Responsibility

The Buyer is responsible for reviewing the Order before payment and providing accurate information.

11. DELIVERY AND ORDER FULFILLMENT

11.1 Delivery and Pickup

Nassham Pay may provide:

Delivery — the Product is delivered to the Buyer's agreed location.

Pickup — the Buyer collects the Product from the Seller's designated store, business location, or agreed pickup point.

11.2 Delivery Orders

Where Delivery is selected, the Buyer and Seller should communicate through Nassham TradeTalk to agree on the applicable delivery arrangements and fee.

11.3 Delivery Fee

The delivery fee is separate from the Product price unless otherwise stated.

The Buyer and Seller should agree on the delivery fee before the Seller adds it to the Order.

The Buyer must review the updated Order total before paying.

11.4 Fulfillment After Payment

After the applicable Order amount, including an agreed delivery fee where applicable, has been successfully paid, the Seller may begin fulfillment.

The Seller must not falsely mark an Order as delivered, dispatched, or completed.

11.5 Delivery Confirmation

Once the Buyer receives the Product, the Buyer may confirm receipt through the Platform.

After appropriate delivery confirmation, the Order may be marked Delivered or Completed, and Seller funds may be released according to applicable settlement procedures.

11.6 False Confirmation

Buyers must not falsely confirm delivery. Sellers must not pressure Buyers to falsely confirm delivery.

11.7 Pickup

  • the Buyer collects the Product from the Seller;
  • no delivery fee applies unless expressly stated otherwise;
  • the Seller should make the Product available after payment confirmation;
  • the Buyer should collect within the applicable collection period.

11.8 Pickup Confirmation

The Buyer should confirm collection only after actually receiving the Product.

11.9 Order Status Bar

Buyers can monitor Order progress through the Platform's Order Status Bar.

Order Placed Payment Pending Payment Confirmed Processing Packed Ready for Delivery/Pickup Dispatched In Transit Delivered/Collected Completed

11.10 Delivery Delays

Delivery estimates are not guarantees unless expressly stated otherwise.

11.11 Delivery Disputes

If a Buyer claims that an Order was not delivered or was incorrectly marked as delivered, the Buyer should report the matter promptly.

Nassham Pay may review:

  • Order records;
  • payment records;
  • TradeTalk communications;
  • delivery information;
  • timestamps;
  • Buyer confirmation;
  • Seller information;
  • other relevant records.

11.12 Seller Fund Release

Nassham Pay may hold funds associated with an Order until applicable fulfillment and confirmation requirements have been satisfied.

Release of Seller funds does not eliminate valid Buyer rights under applicable law or the Return & Refund Policy.

11.13 Delivery Responsibility

Unless Nassham Pay expressly provides or arranges delivery, the Seller is responsible for arranging delivery.

11.14 TradeTalk Delivery Records

Buyers and Sellers should use Nassham TradeTalk for delivery-fee discussions, delivery locations, pickup arrangements, delivery timing, fulfillment discussions, and confirmation-related communications.

12. PAYMENTS

Nassham Pay may use third-party Payment Providers to process payments.

Where AzamPay or another hosted payment provider is used, payment information may be entered and processed through the Payment Provider's systems.

Nassham Pay does not ordinarily store Buyers' card numbers, card security codes, mobile-money PINs, banking passwords, or other sensitive payment credentials used for hosted payment processing.

Payment processing remains subject to the applicable Payment Provider's terms, security procedures, availability, and requirements.

13. PAYMENT SECURITY

Users must use only payment methods they are legally authorized to use.

Users must not:

  • use another person's payment method without authorization;
  • submit fraudulent payment information;
  • bypass Platform payment procedures;
  • interfere with payment systems;
  • conduct fraudulent transactions;
  • knowingly facilitate unauthorized payments;
  • use Nassham Pay for money laundering or other unlawful financial activity.

14. RETURNS

Returns are governed by the applicable Nassham Pay Return & Refund Policy and any Seller return conditions permitted by the Platform.

A Buyer may be required to:

  • submit a request within the applicable period;
  • provide the Order number;
  • provide evidence;
  • return the Product where required;
  • maintain the Product in the required condition;
  • follow the applicable return procedure.

Certain Products may be excluded from returns where permitted by applicable law and Platform policy.

15. REFUNDS

Refunds are governed by the applicable Return & Refund Policy .

Depending on the circumstances, a refund may be available where:

  • an Order is cancelled;
  • a Product is unavailable;
  • a Product is defective;
  • a Product materially differs from its Listing;
  • an approved return is completed;
  • another circumstance covered by the applicable policy occurs.

Refund processing time may depend on the Payment Provider and financial institution.

16. DISPUTES BETWEEN BUYERS AND SELLERS

16.1 Good-Faith Resolution

Buyers and Sellers should first attempt to resolve Order-related disputes promptly, respectfully, and in good faith.

Where possible, the parties should first communicate through Nassham TradeTalk.

16.2 TradeTalk

TradeTalk should be used for important transaction communications because it creates a Platform record that may assist Nassham Pay in reviewing disputes.

16.3 Requesting Nassham Pay Assistance

If the parties cannot resolve the issue, either party may contact Nassham Pay through available support or dispute procedures.

16.4 Dispute Review

Nassham Pay may consider:

  • Order information;
  • Product Listings;
  • prices and fees;
  • TradeTalk messages;
  • available payment records;
  • delivery records;
  • Order status;
  • Buyer and Seller confirmations;
  • photographs;
  • videos;
  • documents;
  • return/refund information;
  • other relevant information.

16.5 Platform Records

TradeTalk records may be considered as part of a dispute review.

Where material arrangements were made entirely outside Nassham Pay, the Platform may have limited ability to verify them.

16.6 Administrative Action

Following review, Nassham Pay may:

  • request additional evidence;
  • request further communication;
  • place a transaction under review;
  • temporarily withhold Seller funds where permitted;
  • facilitate or approve a refund where appropriate;
  • require a return;
  • adjust Order status;
  • restrict or cancel an Order;
  • take action against a violating Account;
  • take other reasonable administrative action.

16.7 No Guaranteed Outcome

Nassham Pay will make reasonable efforts to review disputes fairly based on available information.

However, Nassham Pay does not guarantee a particular outcome.

16.8 False Claims

Users must not provide:

  • false evidence;
  • manipulated evidence;
  • false non-delivery claims;
  • false delivery confirmations;
  • false refund claims;
  • other misleading information.

16.9 External Transactions

Where Users voluntarily conduct material parts of a transaction outside Nassham Pay, Nassham Pay may have limited ability to verify or assist with the transaction.

16.10 Legal Rights

Nassham Pay's internal dispute procedure does not prevent a User from exercising legal rights or remedies available under applicable law.

17. PROHIBITED ACTIVITIES

Users must not use Nassham Pay for unlawful, fraudulent, abusive, deceptive, or harmful activities.

Prohibited activities include:

  • fraud;
  • identity theft;
  • money laundering;
  • unauthorized payment activity;
  • prohibited Products;
  • counterfeit Products;
  • stolen Products;
  • intellectual-property infringement;
  • fake Orders;
  • review manipulation;
  • harassment;
  • unauthorized Platform access;
  • malicious software;
  • malicious code;
  • unauthorized scraping;
  • unauthorized data collection;
  • bypassing Platform security;
  • circumvention of Platform procedures;
  • activities prohibited by applicable law.

18. SELLER FEES AND COMMISSIONS

Nassham Pay may charge Sellers:

  • commissions;
  • transaction fees;
  • subscription fees;
  • advertising fees;
  • service fees;
  • payment-related fees;
  • other applicable charges.

Applicable fees will be communicated through the Platform, Seller Dashboard, Seller Policy, or another applicable agreement.

Nassham Pay may change applicable fees subject to applicable notice requirements and law.

19. REVIEWS, RATINGS, PRODUCT APPROVAL AND USER CONTENT

19.1 Reviews and Ratings

Nassham Pay may allow eligible Users to submit reviews, ratings, photographs, comments, feedback, and other User Content.

Reviews and ratings must reflect genuine experiences.

19.2 Prohibited User Content

Users must not submit Content that:

  • is false or deliberately misleading;
  • relates to an experience that did not occur;
  • is intended to manipulate ratings;
  • contains threats or harassment;
  • contains unlawful or defamatory material;
  • reveals another person's private information without authorization;
  • contains passwords or payment credentials;
  • contains malicious software;
  • infringes intellectual property;
  • constitutes spam;
  • violates these Terms or applicable law.

19.3 Product Submission and Review

Sellers may upload Products to their Store.

Uploading a Product does not automatically make it available for sale.

Products may be reviewed by Nassham Pay before publication.

19.4 Product Approval or Rejection

After review, Nassham Pay may:

  • approve the Product;
  • reject the Product;
  • provide a reason for rejection;
  • request additional information;
  • request corrections;
  • return the Listing for modification;
  • take other appropriate action.

19.5 Reasons for Rejection

A Product may be rejected where:

  • information is incomplete;
  • information is misleading;
  • the Product is prohibited;
  • the Product violates applicable law;
  • required Seller information is missing;
  • images or descriptions are misleading;
  • intellectual-property rights may be infringed;
  • the Product appears unsafe or counterfeit;
  • the Product is improperly categorized;
  • Platform requirements are not met;
  • Nassham Pay reasonably determines that publication is inappropriate.

19.6 Removal After Approval

Approval does not guarantee permanent publication.

Nassham Pay may later suspend, restrict, hide, or remove a Product where new information becomes available, complaints are received, applicable law changes, Platform requirements change, or action is otherwise reasonably necessary.

19.7 No Product Guarantee

Product approval means only that the Listing passed the applicable Platform review process.

It does not constitute a guarantee, certification, warranty, or endorsement of the Product's quality, authenticity, safety, legality, manufacturer, suitability, or condition.

19.8 Content Moderation

Nassham Pay may review and remove or restrict Content that violates these Terms, Platform policies, or applicable law.

19.9 No Guaranteed Publication

Nassham Pay does not guarantee that submitted Content will be published, retained, displayed, or remain available.

19.10 Fair Reviews

Users must not coordinate to manipulate:

  • ratings;
  • reviews;
  • Seller rankings;
  • Product rankings;
  • search results;
  • sales information;
  • other Platform metrics.

Sellers must not pressure, threaten, bribe, or improperly influence Buyers regarding reviews.

Buyers must not threaten negative reviews to obtain an improper benefit.

20. INTELLECTUAL PROPERTY

The Platform and its original software, design, branding, graphics, logos, text, interfaces, and functionality may be protected by intellectual-property laws.

Except as permitted by law or authorized by Nassham Pay, you must not copy, reproduce, modify, distribute, reverse engineer, sell, or commercially exploit Platform materials.

Sellers retain ownership of their lawful Product Content.

By submitting Product Content to Nassham Pay, Sellers grant Nassham Pay a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, adapt, and use that Content as reasonably necessary to operate, provide, promote, improve, and market the Platform and Seller's Products.

21. PRIVACY AND PERSONAL INFORMATION

Nassham Pay may collect and process personal information necessary to operate the Platform and provide marketplace services.

This may include information necessary for:

  • Account registration;
  • WhatsApp authentication;
  • email Account recovery;
  • Seller verification;
  • Order processing;
  • delivery;
  • customer support;
  • dispute handling;
  • fraud prevention;
  • payment processing;
  • security;
  • communications;
  • legal or regulatory compliance.

Personal information will be handled in accordance with the Nassham Pay Privacy Policy and applicable data-protection law.

22. SUSPENSION AND TERMINATION

Nassham Pay may suspend, restrict, or terminate an Account or Seller Account where reasonably necessary, including where:

  • these Terms are violated;
  • fraud is suspected;
  • unlawful activity is suspected;
  • false information is provided;
  • prohibited Products are listed;
  • payment abuse occurs;
  • Platform security is threatened;
  • repeated policy violations occur;
  • a Seller fails to meet Seller requirements;
  • required by law or a competent authority.

Where appropriate and legally permitted, Nassham Pay may provide notice and an opportunity to address the issue.

Suspension or termination does not automatically eliminate obligations that arose before suspension or termination.

23. DISCLAIMERS AND LIABILITY

Nassham Pay provides the Platform primarily to facilitate interactions and transactions between Buyers and Sellers.

To the extent permitted by applicable law, Nassham Pay does not guarantee that:

  • the Platform will always be available;
  • Products will always be available;
  • Product information will always be error-free;
  • Sellers will fulfill every Order;
  • deliveries will occur within estimated times;
  • Products will meet every Buyer's expectations;
  • every dispute can be conclusively resolved.

Sellers remain responsible for their Products, Listings, Orders, and Seller obligations.

Nassham Pay is not ordinarily responsible for the acts or omissions of independent Sellers, including Product defects, inaccurate Listings, Seller misconduct, or Seller failure to fulfill an Order, except where liability is imposed on Nassham Pay by applicable law.

Nothing in these Terms excludes, restricts, or limits liability that cannot lawfully be excluded, restricted, or limited under applicable law.

24. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and interpreted in accordance with the laws of the United Republic of Tanzania , subject to any mandatory law applicable to a particular User or transaction.

Any dispute concerning these Terms or use of the Platform should first be raised with Nassham Pay through the applicable support or dispute-resolution process.

Nassham Pay and the User should attempt to resolve the matter in good faith.

Where a dispute cannot be resolved through the applicable internal process, it may be referred to a court, tribunal, arbitration body, or other competent dispute-resolution mechanism having lawful jurisdiction.

Nothing in these Terms prevents a User from exercising any mandatory legal right or remedy available under applicable law.

25.2 Changes to These Terms

Nassham Pay may update these Terms from time to time to reflect Platform changes, changes in business operations, new services, security requirements, legal or regulatory requirements, or other legitimate business needs.

The updated Terms will be published on the Platform with a new Last Updated date.

Where required by applicable law, Nassham Pay will provide additional notice of material changes.

25.3 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be interpreted or limited to the extent necessary to make it enforceable where legally possible.

The remaining provisions will continue to apply.

25.4 Entire Agreement

These Terms, together with the Privacy Policy, Return & Refund Policy, Seller Policy, and other applicable Platform policies constitute the agreement governing your use of Nassham Pay, except where a separate written agreement expressly applies.

25.5 No Waiver

Failure by Nassham Pay to enforce a provision of these Terms does not constitute a waiver of the right to enforce that provision later.

25.6 Assignment

You may not transfer or assign your rights or obligations under these Terms without Nassham Pay's prior written consent where such consent is legally required.

Nassham Pay may transfer or assign its rights and obligations where reasonably necessary in connection with a restructuring, merger, acquisition, transfer of business, or operation of the Platform, subject to applicable law.

25.7 Survival

Provisions that by their nature should continue after Account closure or termination will survive, including provisions concerning:

  • payments;
  • outstanding obligations;
  • disputes;
  • intellectual property;
  • User Content;
  • privacy and legally permitted retention;
  • liability;
  • governing law;
  • other provisions intended to survive termination.

ACKNOWLEDGEMENT

By creating an Account, accessing the Platform, placing an Order, applying to become a Seller, operating a Seller Account, listing Products, or otherwise using Nassham Pay, you acknowledge that:

  • you have read these Terms & Conditions;
  • you understand them;
  • you agree to be bound by them;
  • you agree to comply with applicable laws and Platform policies;
  • you understand that Sellers are generally independent parties responsible for Products they offer;
  • you understand that Nassham TradeTalk may be used to maintain transaction-related communications and records;
  • you understand that unpaid Orders may expire after the applicable payment period;
  • you understand that delivery and pickup have different fulfillment procedures;
  • you understand that payment processing may be performed by third-party Payment Providers such as AzamPay.
